MMF2 'License' Transfer?

Hi gang,
I was discussing with my friend about MMF2, and my interest in purchasing it, when he pulled out a copy of it on disc (official disc you guys ship out). He got it a couple of years ago(maybe not exact time) for school, but unfortunately, dropped the school program before even starting, so his copy of MMF2 has been just sitting, put away for the past couple of years. I confirmed with him that he's never used the software; he didn't even install it, so he hasn't registered it.
Just to clear things up, is it okay if he gives me the copy, since he never activated or even installed it? I want to make sure, because if so, I'd like to do so, and purchase some plugins. Thanks :)
